Dear Boyse,
With reference to our talk yesterday about the
Hong Kong Companies Ordinance, I understand that the
general conclusion agreed to was that Clause 275A should
be confined to companies having the word "Bank" or
"Banking" in their title or which the Governor, on the
advice of a Banking Council, was satisfied transacted
banking business. These are, of course, not the exact
words, but they convey the idea. It was also suggested
that the Governor should be consulted as to whether it was
necessary to go so far as to include companies which, in
his opinion and on the advice of the Council, transacted
banking business.
I promised to let you have our full objections and I
enclose, for your confidential information, two minutes by
the Senior Official Receiver in Companies Winding-Up on
this subject.
